Terms and Conditions

1. Definitions

"ToGate" refers to the shared-ride intermediation platform for Milan Malpensa Airport, accessible at togate.io.

"User" refers to any individual who makes a booking through the platform.

"Driver" refers to the NCC-licensed (private hire) operator who physically performs the transportation service.

"Ride" refers to the transport service carried out by the Driver for the User.

2. Nature of service — ToGate as intermediary

ToGate is exclusively a technology intermediation platform. ToGate connects Users with independent NCC-licensed Drivers and is in no case a party to the transport contract, which is concluded directly between the User and the Driver.

ToGate is not a transport company, does not employ Drivers, exercises no control over the vehicle, and bears no responsibility for the execution of the Ride.

ToGate's intermediation is limited to collecting bookings, splitting costs among passengers sharing the same slot, and transmitting information to the Driver.

3. Disclaimer of liability for delays and disruptions

ToGate does not guarantee arrival or departure times and is not liable for delays, cancellations, schedule changes or any other disruption affecting the Ride, regardless of cause (traffic, weather, mechanical failure, strikes, force majeure or any other circumstance).

It is the User's responsibility to be at the agreed location at the agreed time. Failure to appear does not entitle the User to a refund of the authorised amount.

ToGate is not liable if the User misses flights, trains, appointments or any other commitment due to a delay in the Ride.

4. Disclaimer of liability for personal injury and property damage

Transportation is carried out under the full and exclusive responsibility of the Driver, who operates as a legally independent NCC licence holder.

ToGate is excluded from any liability for physical injury, personal harm, death or any other health-related damage to the User or third parties occurring during the Ride.

ToGate is likewise excluded from any liability for damage, loss, theft or deterioration of luggage, personal effects or any other goods transported during the Ride.

Any claims for compensation must be directed exclusively to the Driver and their insurance company.

5. Driver verification

ToGate verifies that each Driver registered on the platform holds a valid NCC licence and third-party motor insurance at the time of registration.

This verification is limited to a document check at onboarding. ToGate does not guarantee the ongoing validity of licences and insurance over time, nor the quality of driving, professionalism or conduct of the Driver during the Ride.

Any dispute relating to Driver conduct must be handled directly between the User and the Driver.

6. Payment and authorisation

Payment is made by credit/debit card authorisation at the time of booking. The amount is not charged immediately, but only upon completion of the Ride by the Driver.

In the event that the Ride is not performed due to the Driver's fault, the authorisation will be released within the timeframes set by the card network.

ToGate reserves the right to modify prices at any time. Already confirmed bookings retain the price at the time of booking.

7. Governing law and jurisdiction

These Terms are governed by Italian law. The Court of Milan shall have exclusive jurisdiction over any dispute arising from use of the platform.
